1. Agreement
By booking, instructing, or accepting services from SOODI.help /Mehdi (“we”, “us”, “our”), you enter into a legally binding contract and agree to these terms in full.
SOODI.help is a sole trader business operated by Ali Karami. Payments may be collected by authorised representatives on our behalf.
2. Quotations
Quotations are valid for 7 days unless otherwise stated. Acceptance forms a binding contract. Any variation or additional work will be charged separately.
3. Scope of Work
Work is limited strictly to the agreed scope. Any additional work requested will be quoted and charged separately.
4. Pricing & Charges
Prices are for labour unless stated otherwise. Additional charges apply for materials, extra time, additional work, delays, and third-party/platform fees.
5. Payment Terms (Strict)
Unless otherwise agreed in writing:
• 25% deposit required before work commences
• Remaining 75% becomes due once the work has reached substantial completion (approximately 90%), as reasonably determined by us
Substantial completion means the stage at which the work is largely complete and usable for its intended purpose, excluding only minor defects, snagging items, or finishing touches.
NO DEPOSIT = NO WORK.
We are under no obligation to start, continue, or complete any work until payment requirements are met.
We reserve the right to request full settlement of the remaining balance prior to final completion, handover, or final detailing.
We reserve the right to suspend work immediately if payments are not made as agreed.
6. Late Payment Enforcement (Daily Interest)
If payment is not made immediately when due:
• Interest will be charged at 8% above Bank of England base rate
• Interest accrues daily until full payment is received
• Fixed compensation (£40–£100) may be added under UK law
• All debt recovery, legal fees, and court costs will be charged to the customer
We reserve the right to pursue legal action without further notice.
7. Warranty & Guarantee
Only valid if explicitly stated on the invoice. Covers workmanship only. Does not cover misuse, wear and tear, or third-party interference.
8. Paid Support Services
All ongoing support, call-outs, or follow-up services are chargeable unless agreed in writing.
9. Refund Policy
Labour charges are non-refundable once work has commenced, except where required by law. Materials are non-refundable.
10. Cancellation
Minimum 48 hours notice required.
Late cancellations may result in loss of deposit and additional charges for time, scheduling, and costs incurred.
11. Customer Obligations
You must provide safe access, utilities, and suitable working conditions.
Failure to do so may result in additional charges or cancellation of service.
12. Delays Outside Control
We are not responsible for delays caused by weather, suppliers, third parties, or circumstances beyond our control.
13. Liability (Legal Limitation)
Nothing in these terms excludes liability for death, personal injury, or fraud.
Subject to this, our total liability is strictly limited to the amount paid by the customer.
We are not liable for indirect or consequential losses.
14. Third-Party Fees
All platform fees (e.g., MyBuilder or similar) are payable by the customer.
14.1 Lead / Shortlist Fee
Where a job originates from third-party platforms, a non-refundable lead or shortlist fee may be charged whether or not the job proceeds.
15. Materials Ownership
All materials remain our property until full payment has been received.
16. Taxes
Not VAT registered.
17. Insurance
The Company maintains personal liability insurance where applicable. This insurance covers claims arising from personal injury or property damage caused by the Company’s negligence in the course of providing services. Proof of insurance can be provided upon reasonable request. The Company’s liability is limited to the extent covered by such insurance.
18. Data Protection
We comply with UK GDPR.
We collect and process customer data for service delivery, communication, and legal obligations.
Data is stored securely and retained for up to 6 years.
19. Legal Enforcement
This document represents the full agreement.
We reserve the right to enforce all terms through legal recovery procedures.
20. Governing Law
These terms are governed by the laws of England and Wales.
